I am a software tool developer and planning to use Jira REST API in my tool. It will not be hosted in Jira's Marketplace nor its an Add-on. Its an independent tool but uses Jira REST API to connect to server/cloud version of Jira.
Question: Should I have licence to sell my tool because I use Jira REST API? If so, what is process of acquiring one? If so, what is the cost of license

No, you don't need to worry about licensing. You should do what works for your usage.
Jira has a REST API that is public so that it can be used by people writing stuff to talk to Jira. If you write things that need to be installed as plugins/add-ons/apps, then you do need to think about it, but writing things that are completely external and just talk to Jira over the public APIs - no, there's no licensing to think about..
