Looking to upgrade from download version 3.12.3 to on-demand

We have a user license for Jira 3.12.3 suport and have gotten a trial license for 4.x and a Jira on-demand license. Ideally we would want to move to on-demand from our current version but it looks like we might have to do an upgrade to 4.4.X before we get Jira on-demand. Could you please suggest the best path for the move ?

Your plan is right on! JIRA 3.12.3 is too old to be able to be imported into OnDemand directly, so you'll need the intermediate step of importing into 4.4 first. Once that's done, export it back out to XML and you'll be able to bring it straight into OnDemand.
